Terms and Conditions of Services

This document is a legally binding agreement containing essential information about your rights, remedies, and the applicable law and jurisdictions. Please read this document carefully.

Terms & Conditions of Services

Information about the features of totle is provided on our feature page. In the course of providing Services, we will process your personal data. An explanation on how we use your personal data is provided in our Privacy Policy, a separate document that is located on our privacy policy page.

1. Company

e-glue Cloud, a company registered under the laws of Republic of Korea, with office address 9F, 38, Mapo-daero, Mapo-gu, Seoul, Republic of Korea, and email address: support@e-glue.co.kr, is the provider of the ‘Services’ (referred to as the Services Provider", "Company,""We," "Us", or "Our").

2. Agreement

  1. These terms and conditions constitute a legal agreement between the user (either an individual or group - "user", "you", "your") and the company. The agreement outlines the legal terms and conditions governing the use of totle services offered directly by the company or through third parties from time to time.
  2. By registering with us (creating a totle account) and using the installed totle program, you agree to be bound by these terms and conditions.

3. Changes to the Terms

  • We reserve the right to modify these Terms and Conditions, as well as other terms of service (service plans, pricing, etc.), or discontinue the ‘Services’ at anytime. Any changes will be posted on our website, and notices regarding such changes will be shared through pop-up windows in the ‘Services’. Changes take effect on the effective date shown in the revised Terms and Conditions.

4. Definitions of Terms

  1. 'totle' (‘Software’): A program available for download and installation, offered infree and paid versions from "totle.me", including all subdomains ("Websites").
  2. 'User': A user who agrees to these Terms and installs and use totle.
  3. 'Subject to Paid Service': User who agrees to these terms and pays a fixed fee to install and use 'totle'.

5. Account

  1. An account is required to receive and fully utilize the ‘Service’. When creating your account, provide accurate and complete information. We are not responsible for any negative consequences that occurs as a result of providing inaccurate information or failing to update it. We may communicate with you through email or notices on our website.
  1. By creating an account, you agree to receive emails from us. We may keep you informed about subscription changes, product updates, and other relevant information.

6. Duties of the Company

  1. The Company grants a license to install and use the software for free users who agree to these Terms. The Company is responsible for repairing or recovering damaged equipment, software, or related materials promptly. User opinions or complaints will be addressed promptly. The Company may provide automatic updates for ‘Software’ improvement.

7. Duties of the user

  1. User must comply with these Terms, Company regulations, notices, and related statutes. Users shall not conduct business activities using 'totle' without prior consent from the Company. User shall not violate the intellectual property rights of the Company or any third party. Users are responsible for any damages resulting from unauthorized business activities.
  2. The user shall not use the ‘Software’ to defame the Company or a third party, draw up obscene materials or other antisocial outputs, or violate other statutes or social regulations. User shall bear all responsibility for the user's actions, and the user shall not mislead by acting on behalf of the Company.

8. Service Maintenance

  1. We will use commercially reasonable efforts to provide Services 24/7. The 'Services' may be temporarily inaccessible for reasons beyond our control, and we will notify users of such interruptions when possible.
  2. The "Company" may conduct a regular inspection if necessary for the maintenance of services, and the regular inspection time shall be as announced on the Service Website page or directly through email.
  3. If the "paid service" cannot be provided due to conversion of business items or abandonment of business, "Company" shall notify "User" and compensate "User" according to the terms and conditions originally presented by "Company".

9. Service Change

  1. From time to time, the Company may change services for operational and technical reasons, with notice provided for significant changes. Free services may be modified, discontinued or changed without compensation, as necessary for company policies and operations. The Company may add additional features to enhance the user experience of our storage service at no additional charge. However, these features may be withdrawn without further notice.

10. Terms of Use

A. General Terms of Use

  1. You agree that you will not use the Services for any purpose, related or otherwise that involves any illegal or unauthorized attempt to gain access to any computer system, any act of racism,vandalism, persecution, terrorism, general provoked or unprovoked aggression orwar nor any other illegal, malicious or criminal activity.
  2. You will use the Services in accordance with applicable laws, rules and regulations. You are responsible for all your activities that occur within, through or as a result of your use of the Services. You agree that you will not use the Services for unlawful purposes or to engage in any illegal, offensive, offensive, indecentor objectionable conduct, including violation of any third-party privacy or other rights.

B. Restrictions of Use

  1. Users are restricted from reverse-engineering, copying, or amending 'Software' beyond permitted scope.'Software' shall not be used for unauthorized purposes, including creating secondary works. Intellectual property rights indications must not be removed.

12. Privacy Policy

  1. The company has customer information and privacy policies details as stated in the online ‘Privacy Policy’ section, fully incorporated herein. Users agree to be bound by the Company's Privacy Policy.

13. Provision of Promotional Content and Other Services

  1. Promotional content may be provided within the Services. The Company may collect and use PC specification information for product support and quality maintenance.

14. License Rights

  1. The Company owns ‘Services’ and associated intellectual property rights. This Agreement does not confer ownership rights to users. The 'totle' name and logo are Company trademarks and no right or license is granted to use them.

15. Limitations of Company Responsibilities

  1. The Company does not guarantee the accuracy of content provided through 'Software'.The Company is not liable for consequences of non-compliance with Terms or information criteria. The Company is not responsible for issues arising from changes in computer hardware or operating systems, failure or loss of revenue expected from using the 'Software' and services. The company is not responsible for any 'Software' provided free of charge unless specified in the relevant laws.

16. Fees and Payment

  1. The Company offers both free and paid services, depending on the selected Service (‘Pricing’) plan. Users can add paid features to the account (turning the account into "Paid Account"). The company offers "Free", "Personal", and "Business" pricing plans. More information about our subscription plans and their characteristics is provided on our ‘Pricing Page’. Unless you upgrade to one of the paid plans upon registration and account creation, you will be automatically assigned with Free Plan.
  2. If you choose to purchase any of the paid plans, you are required to pay the applicable fee at the time you purchase the Service. Payments can be made using PayPal. Subscriptions to our paid plans are available on both monthly and yearly subscription plans. Each paid subscription is only valid for one user account, and you are not permitted to use your paid subscription with another user's account.
  3. Your monthly subscription will be automatically renewed, and the subscription fee will be charged at the end of each subscription period until you cancel. The subscription fee will be charged to your last payment method.

17. Cancellation and Refund

  1. You may cancel your subscription at any time. If you decide to cancel your subscription, your account converts to free version. When your paid subscriptions end, you can no longer use the paid features.
  2. When cancelling Monthly Subscription, you can cancel the subscription at anytime and your cancellation will be effective at the end of your current billing period. You will not receive any refund, but you will be able to access the paid features until the remainder of the current billing period.
  3. If you cancel Annual Subscription within 14 days, your subscription will be automatically terminated upon cancellation, and you will receive a full refund. If you cancel after 14 days, the subscription will be terminated at the end of the current billing period. You will not receive a refund, but you will be able to access the paid features for the remainder of the current billing period.

18. Termination of Contract and Compensation

User Account Deletion

The User are free to stop using our Services at any time. Users can delete account information through the settingsmenu. The Company will promptly treat account deletion requests, and user datais destroyed upon termination, except where retention is required by law orprivacy policies.

Access Suspension and Termination

The Company reserve the right tosuspend or terminate your access to the Services with notice to you if theCompany reasonably believes:

  1. you'rein breach of these Terms,
  2. your use of the ‘Services’ would cause a real risk of harm or loss to the Company

The Company can terminate the license contract for user non-compliance. The Company may suspend the 'Software' for important business reasons. Users can terminate the contract by deleting the ‘Software’.

Compensation Claims

Damages caused to the Company by users may result in separate claims.

19. Discontinuation of Service

  1. The Company may decide to discontinue the Services in response to exceptional unforeseen circumstances, events beyond the Company's control (for example a natural disaster, fire, or explosion), or to comply with a legal requirement. If we do so, the Company will give you a reasonable prior notice so that you can take necessary measurements.

20. Preservation and Destruction of Data and Files

  1. Upon service termination, personal information and user data are preserved for one month, then deleted. User-requested data deletion is immediate. Service fee payment information may be retained for a specified period for confirmation purposes. User-uploaded files have a user-set retention period; expired files are automatically deleted.
  2. All data and files related to the user can only be viewed by the user. It is not provided to third parties. However, only those in charge of customer support for 'totle' can view inquiries with the user's consent during customer support.

21. Jurisdiction and Governing law

  1. Unspecified matters adhere to e-glue Cloud terms and conditions, service directions, and relevant statutes - including the Act on Promotion of Information and Communications Network Utilization and Information Protection, etc. Personal information protection details that are not specified in the Terms shall be inaccordance with the e-glue Cloud Privacy Policy. Disputes arising from the use of "Software" and linked services are subject to the competent court under the Civil Procedure Act.

22. Modifications

The Company may revise these Terms to better reflect:

  1. Changes to the law
  2. New regulatory requirements, or
  3. Improvements or enhancements made to our Services

23. Acknowledgement

  1. If an update affects your use of the Services or your legal rights as a user of our Services, we will notify you prior the update's effective date by sending an email to the email address associated with your account. These updated terms will be effective no less than 30 days from when you were notified.
  2. If you don't agree to the updates we make, please cancel your account and stop using the Services before the updated Terms become effective. By continuing to use or access the Service after the updates come into effect, you agree to be bound by the revised Terms.
  3. You (the User) acknowledge that you have read this agreement, understand it, and agree to be bound by its terms and conditions.
